Terms of Service

These Terms of Service ("Terms") govern access to and use of Herka Apps, including Herka Route, provided by Herka Apps ("Herka Apps," "we," "us," or "our"). By installing, purchasing, accessing, or using the service, you agree to these Terms.

1. Business service

The service is intended for business and professional use. You represent that you have authority to bind the organization on whose behalf you install or use the service.

2. Connected platforms

Certain features require access to third-party platforms or services. You authorize Herka Apps to access connected accounts only within the permissions you approve. Your use of third-party platforms remains subject to their separate terms.

3. Customer responsibilities

You are responsible for the accuracy and lawfulness of data you provide, maintaining authorized access to connected systems, obtaining any notices or consents required for CRM contact information, and ensuring your use of routing information is safe and lawful.

4. Routing information

Routing, geocoding, travel times, service-area matches, and navigation results are informational and may be incomplete or inaccurate due to map data, traffic, address quality, service interruptions, or other factors. Users must use reasonable judgment and comply with road rules and local requirements.

5. Fees and subscriptions

When Herka Apps is purchased through a third-party marketplace, billing, renewals, plan changes, cancellation, refunds, and payment processing may be handled by that marketplace according to its applicable terms. Your access may be limited or suspended if the applicable subscription is inactive or unpaid.

6. Acceptable use

You may not use the service to violate law, infringe rights, attempt unauthorized access, interfere with service operation, reverse engineer protected components except where law expressly permits, resell access except where expressly authorized, or use the service in a way that creates unreasonable security or infrastructure risk.

7. Availability and changes

We may update, improve, discontinue, or modify features. We do not guarantee uninterrupted availability. Planned and emergency maintenance may affect access.

8. Intellectual property

Herka Apps, Herka Route, associated software, branding, interface designs, and documentation are owned by us or our licensors. These Terms provide a limited right to use the service during an active authorized subscription and do not transfer ownership.

9. Confidentiality and data

Each party will use reasonable care to protect non-public confidential information received from the other. Our processing of personal information is described in the Privacy Policy.

10. Disclaimers

To the maximum extent permitted by applicable law, the service is provided on an "as is" and "as available" basis without warranties that are not expressly stated in a signed agreement.

11. Limitation of liability

To the maximum extent permitted by applicable Philippine law, Herka Apps and its owners, personnel, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising out of or relating to the service. To the maximum extent permitted by law, the aggregate liability of Herka Apps for all claims arising out of or relating to the service will not exceed the amount paid by the customer for the service during the three months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Herka Apps and its owners, personnel, suppliers, and licensors from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from your unlawful use of the service, your material breach of these Terms, or your infringement of another party's rights, except to the extent caused by Herka Apps' own unlawful conduct.

13. Termination

You may stop using the service and uninstall it. We may suspend or terminate access for material breach, fraud, abuse, security risk, nonpayment, legal requirements, or discontinuation of the service, subject to applicable law and marketplace rules.

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be submitted to a court of competent jurisdiction in the Philippines, subject to any mandatory rights, remedies, or procedures available under applicable law.
